1. Who provides this service
Venuvara is a software product operated by HALPERIN VENTURES LLC, 8377 NW 39th Ct, Pembroke Pines, FL 33024 ("we", "us"). These terms govern your access to and use of the Venuvara platform. If you use Venuvara on behalf of an organization, you confirm you are authorized to accept these terms for that organization.
2. Workspaces and customer responsibility
Venuvara is a multi-tenant platform. Each customer organization operates its own workspace and is responsible for managing that workspace: inviting and removing users, assigning administrators, roles and permissions, configuring workspace branding, and deciding what information is entered, uploaded and shared inside the workspace.
The customer organization controls the data in its workspace, including which records are shared with its own customers, vendors, guests and other external participants. We provide the software; the customer organization decides how it is used and by whom.
3. Accounts and acceptable use
You are responsible for keeping your sign-in credentials confidential and for activity that occurs under your account. You agree not to attempt to access workspaces, records or accounts you have not been granted access to, not to interfere with or disrupt the service, and not to use the service in violation of applicable law.
We may suspend access where necessary to protect the service or other customers, for example in response to abuse, security risk or unlawful use.
4. Subscriptions and commercial terms
Subscription pricing, payment terms, service levels and other commercial commitments are not set out in these terms. They may be governed by a separate order form, quote or customer agreement between the customer organization and HALPERIN VENTURES LLC. Where a signed customer agreement exists and conflicts with these terms, that agreement controls for the matters it addresses.
5. Customer content and intellectual property
Customer organizations retain ownership of the content they put into their workspaces. We process that content in order to provide the service. We retain all rights in the Venuvara software, interfaces and platform branding; nothing in these terms transfers those rights.
6. Service changes and availability
The platform is under active development and its features may change. We do not promise uninterrupted or error-free operation. Except where a separate signed agreement states otherwise, the service is provided on an "as is" and "as available" basis, without warranties of any kind to the maximum extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by law, HALPERIN VENTURES LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue or data, arising from use of the service. Where a separate signed customer agreement sets out liability terms, that agreement controls.
8. Termination
You may stop using the service at any time. A workspace administrator may remove users from a workspace. We may terminate or suspend access for material breach of these terms. Provisions that by their nature should survive termination will survive.
9. Governing law
These terms are governed by the laws of Florida, United States, without regard to conflict of law rules, unless a signed customer agreement states otherwise.
10. Changes to these terms
We may update these terms as the platform evolves. The "last updated" date above reflects the current version. Continued use of the service after an update means you accept the revised terms.
